Effective Date: May 27, 2024## 1. IntroductionThese terms and conditions (the "T&C") govern your use of the Adpod.xyz platform ("the Platform"). By accessing or using the Platform, you agree to be bound by these T&C. If you do not agree to these T&C, you should not use the Platform.## 2. Definitions- Advertiser: Individuals or entities using the Platform to run advertising campaigns.
- Company: Refers to Adpod.xyz.
- User: Refers to both Advertisers and visitors of the Platform.## 3. Access to the Platform3.1 You must be at least 18 years old to use the Platform.
3.2 You agree to provide accurate and complete information during the registration process and to update such information to keep it accurate and complete.## 4. Use of the Platform4.1 The Platform is for your personal or business use, and you may not transfer or sell your access to the Platform to any third party.
4.2 You agree not to use the Platform for any illegal or unauthorized purpose.
4.3 You are responsible for all activity that occurs under your account.## 5. Campaign Terms5.1 Advertisers can create and manage advertising campaigns using the tools provided on the Platform.
5.2 The Company reserves the right to review and approve all campaigns before they are activated.## 6. Price of the Services6.1 Services are priced on a Cost Per Mille (CPM) basis. The final CPM rate is calculated based on campaign configuration and other factors. The estimated CPM range provided during campaign creation is for informational purposes only.
6.2 Advertisers must pay in advance for the requested services ("Budget"). The amounts paid may be used for any campaign type offered by the Company. Active campaigns will continue to receive traffic as long as the balance is positive.
6.3 The Company may offer discounts, rebates, or promotions at its discretion.
6.4 Funded accounts that are inactive for up to six months will lose access to their funds and be permanently deactivated with no refunds.## 7. Refund Policy7.1 All amounts paid by Advertisers are non-refundable.
7.2 Advertisers can pause or stop their campaigns at any time. If resumed without changes, campaigns will restart immediately; otherwise, they will undergo review.
7.3 Advertisers are responsible for managing their campaigns. Campaigns remain active until the funds are fully used.
7.4 Accounts detected with malware, exploits, hijacks, or viruses will be blocked with no refunds.
7.5 Inactive accounts for three months will be permanently deleted along with any unused funds. Users will be notified via email.## 8. Representation and Warranties8.1 Users warrant they have full authority to enter into this Agreement.
8.2 Users warrant they will not use the Platform for illegal purposes.
8.3 Users acknowledge the Company is not liable for damages from violations by Publishers or Advertisers.
8.4 The information on the Platform does not constitute professional advice. Users agree not to hold the Company liable for decisions based on this information.
8.5 Advertisers warrant all provided materials comply with laws and do not infringe third-party rights.
8.6 Advertisers must ensure their servers can handle the traffic from campaigns. If not, they should contact the Company to suspend the campaign.## 9. Termination of the Agreement9.1 Users may terminate the Agreement with 14 days' notice by requesting account deletion.
9.2 No refunds for amounts paid for campaigns requested before termination.
9.3 The Company may terminate the Agreement with 24 hours' notice. In such cases, unused amounts paid in advance will be refunded.
9.4 Refunds will be made using the same method as the original payment (bank transfer or cryptocurrency).## 10. Privacy and Use of Cookies10.1 Information provided during use of the Platform is governed by the Adpod.xyz Privacy Policy.
10.2 The Platform uses cookies and automated data collection. Refer to the Cookie Policy for details.## 11. Limitations of UseUsers must not:
- Modify, copy, or reverse engineer materials or software on the Platform.
- Use the Platform to transmit unlawful or unauthorized material.
- Use the Platform in violation of laws or regulations.
- Harvest or collect user data without consent.## 12. Intellectual Property12.1 The materials on the Platform are owned by or licensed to Adpod.xyz.
12.2 This is a license, not a transfer of title. The license terminates if these T&C are violated.
12.3 The Company may use outcomes, data, and insights from campaigns for promotional purposes, including publishing case studies.
12.4 The Company may use the client's name, logo, and trademark in promotional materials unless otherwise agreed.## 13. LimitationsUsers will not:
- Link to the Platform with inappropriate content.
- Modify or reverse engineer the Platform.
- Use the Platform to damage or impair the service.
- Unauthorized use of the Platform is prohibited.## 14. Liability14.1 The Platform is provided "as is" without warranties.
14.2 The Company is not liable for consequential loss from using the Platform.
14.3 Consequential loss includes loss of profit, revenue, business, goodwill, and data.
14.4 These limitations may not apply in some jurisdictions.## 15. Governing LawThese T&C are governed by the laws of the Marshall Islands.## 16. Accuracy of MaterialsThe materials on the Platform are for general information purposes only.## 17. IndemnityUsers agree to indemnify the Company against claims arising from their use of the Platform in violation of these T&C.## 18. LinksThe Company is not responsible for linked sites. Therefore, the inclusion of any link does not imply Adpod.xyz’s endorsement, approval, or control of the site. Use of linked sites is at your own risk; we recommend conducting your own investigations into their suitability.## 19. Right to TerminateThe Company may terminate your right to use the Platform for any breach of these T&C.## 20. SeveranceAny term of these T&C that is void or unenforceable is severed to the extent it is void or unenforceable.
